ProFinance Associates, Inc. was established
in August 1985 and became a registered
U.S. broker-dealer firm in 1990. The
professional staff of ProFinance act
as specialized consultants and investment
bankers to high gross margin, repetitive
income service industries and to specialty
finance companies. ProFinance has
completed numerous financings aggregating
over $800 million dollars and assisted
in negotiations for the purchase or
sale of over 70 businesses.
ProFinance has been active in a number
of service industries, including telecommunications,
internet, software, medical devices
and services, energy management, and
power production and conditioning.
Since inception, a principal area
of concentration has been the electronic
security industry, including the alarm
industry, access control and CCTV,
with in excess of $13.0 billion per
annum revenues in the U.S. today.
ProFinance has registered offices
in the state of California and is
headquartered in San Diego, California.
The basic services of ProFinance are
as follows:
1) FINANCING to arrange equity (from
angel rounds up to, and including,
for mature companies) and all levels
of debt, including securitization;
2) MERGERS AND ACQUISITIONS
on the buy side -- to assist buyers
to identify and negotiate acquisitions;
and
on the sell side -- to represent sellers;
3) CONSULTING for company operators,
suppliers, lenders and investors;
and
4) ANALYSIS AND VALUATIONS to prepare
appraisals and business plans as well
as to provide comparative financial
analysis.
It is the intent of ProFinance to
build strong, long term relationships
with each of its clients. Given that
many service industry firms are entrepreneurial,
and that the nature of the industries
and the financing available to them
are constantly evolving, ProFinance
often provides a variety of services
to clients over an extended period
of time. ProFinance has dealt with
a wide variety of companies from the
smallest (typically sale mandates)
to the very largest (typically acquisition
mandates). In the electronic security
industry, for example, clients have
ranged from traditional industry players
(small to large alarm companies),
to financial players (individual investors,
funds and VC), to newer strategic
entrants (cable, diversified service,
telephone and utility companies).

Association of Security Dealers, Inc.
(NASD) and the Securities Investor
Protection Corporation (SIPC) and
is registered with the SEC.
